REGISTRUM

Official company and property records in Cambodia

Cambodia maintains separate public records for companies, land, insolvency and intellectual property, each kept by a different authority. Confirmation of register names, fees and foreign access terms against the primary source is pending. This page sets out which record families exist here, what each covers, and where the confirmed limit on foreign access begins.

The registers present in Cambodia

This page maps the public records Cambodia keeps across the companies, land, insolvency, intellectual property, civil and tax families, and states which of them stay closed to a foreign applicant. The Cambodia company register sits within this wider set, and it is the family most often ordered from outside the country. Where a fee, a turnaround or an authority name has not yet been checked against the primary source, that gap is stated plainly below rather than filled with a plausible-looking figure.

Companies register

A companies register is understood to exist at national level, recording incorporation, legal form, registered address and the directors of record for domestic and foreign-owned entities. Where an entity operates as a branch or a representative office rather than as a locally incorporated company, the record is expected to sit in a separate file with its own numbering. Whether an extract is issued in English as well as Khmer, and whether it is issued to an applicant with no local presence, has not yet been confirmed.

Land and immovable property register

Immovable property is recorded through a land title system that runs alongside older, unregistered land arrangements dating from before systematic titling began. Where a plot carries a hard title, a cadastral record is expected to identify the registered owner, the boundary and any registered charge. Where it does not, the record obtainable may be limited to a certificate confirming the absence of registration rather than a title extract naming an owner.

Insolvency and court records

Court-supervised insolvency and liquidation proceedings are handled through the ordinary court system rather than through a dedicated insolvency registry, so far as this family has been checked for this page. Whether a public index of open proceedings exists, whether it names the debtor searchably, and whether a foreign applicant can search it without a local intermediary, are each still to be confirmed.

Intellectual property register

Trademarks, patents and industrial designs are recorded separately from company records, under a distinct filing authority with its own numbering and its own certificate format. Access to a certificate or an extract from this register, for an applicant outside Cambodia, is expected to follow a route separate from the companies register route, though the two are frequently ordered together.

Civil, notarial and tax records

Civil status records, notarial acts and business tax registration each sit outside the companies register this page otherwise centres on. Where a corporate document requires a supporting civil record, for example proof of a signatory's identity or a power of attorney executed locally, that record is obtained through a different channel. Whether any of these three is available as a standalone public extract has not yet been confirmed.

What is closed here

None of the record families above has a confirmed free online search interface open to a foreign applicant without a local intermediary. Where a register does offer electronic access, that access is expected to sit behind a national identifier, a local login or a paid subscription reserved for domestic users, none of which a foreign applicant holds by default. A search that works from inside Cambodia may simply fail from outside it, and the two experiences are not the same product.

Beneficial ownership information, if collected at all, is not confirmed as publicly searchable. A registry extract obtained through the companies register is expected to show the registered directors and shareholders of record, not necessarily the individual who ultimately controls a corporate shareholder. Historical filings – amendments, past addresses, former directors – may or may not be retained in the extract a foreign applicant can order; the depth of the historical layer is still to be confirmed against the primary source. Where a reader needs that depth specifically, it is worth stating so at the point of ordering rather than assuming the standard extract will carry it.

How documents from here are used abroad

Where a document issued by a Cambodian register is intended for use outside Cambodia, the receiving authority typically asks for a form of authentication before it will rely on the document at all. Whether that authentication takes the form of an apostille or a fuller legalisation chain through a consulate depends on treaty coverage that is still to be confirmed for this jurisdiction. An apostille, where it applies, certifies only the signature and the seal on the document, not the truth of its content, and it says nothing about whether the underlying facts remain current.

Where the receiving party is a bank, a foreign registry or a court, the request is generally for a certified copy or extract rendered into the language of the receiving jurisdiction, rather than for the Khmer-language original alone. Whether an official translation is available directly from the issuing register, or must be arranged separately through a licensed registered agent, has not yet been confirmed against the primary source. A document correctly issued for one purpose can still be rejected abroad if the receiving side expected a different form of certification.

Access barriers a foreign applicant meets

Where a search or an order form asks for a national identifier or a local electronic signature, a foreign applicant does not hold either by default, and that single field is often what stops a self-service request before it reaches the register. Where the form accepts a passport number and a foreign address instead, the barrier does not arise, but which registers make that concession is still to be confirmed family by family. A barrier at the identifier field is not the same as a closed register; the record may still exist and still be obtainable, only not through the form as it stands.

The route that remains once the identifier barrier is confirmed is an order placed through a licensed registered agent in the jurisdiction, who holds the local means of access on the applicant's behalf. This route does not remove the barrier; it moves the point at which it is cleared from the foreign applicant to a party already positioned to clear it. Whether that route reaches every family described above, or only some of them, is confirmed family by family rather than assumed for the jurisdiction as a whole.

Which register holds company records in Cambodia?

A companies register is understood to exist at national level for the Cambodia company register function, recording incorporation, legal form, registered address and directors. The authority that keeps it, and whether it operates one register or several parallel files for different entity types, has not yet been confirmed against the primary source. This page will be updated once that confirmation is complete.

Can a foreign applicant obtain documents from Cambodia directly?

Whether an applicant with no local presence can submit a request directly to the relevant register is still to be confirmed. Where the form requires a national identifier or a local electronic signature, direct access is expected to stall at that field. Until confirmed, the route through a licensed registered agent in the jurisdiction is the one this service can currently stand behind.

What is not recorded in the Cambodia registers?

Beneficial ownership behind a corporate shareholder is not confirmed as publicly searchable in any of the families covered here. Historical filings – past addresses, former directors, superseded charges – may or may not survive into the extract a foreign applicant can order. Both points sit in the confirmed gap this page describes rather than in the confirmed coverage.

How long does a Cambodia registry extract take to obtain?

A Cambodia registry extract's turnaround has not been confirmed against the primary source, so no number is given here. Where a route is confirmed later, a specific turnaround will replace this general statement, dated to the day it was checked. Until then, treat any figure quoted elsewhere as unverified.

Is a company search Cambodia route available without a local address?

Whether a search can be run using only a company name and no Cambodian address is one of the points still to be confirmed for this jurisdiction. Where a register requires a domestic correspondence address to accept a request, a foreign applicant without one is expected to route the request through a party that holds one.

Does a Cambodia certified document need legalisation for use abroad?

Most receiving authorities outside Cambodia ask for some form of authentication before relying on a Cambodia certified document, whether that is an apostille or a fuller consular legalisation chain. Which applies depends on treaty coverage that is still to be confirmed for this jurisdiction, so the general form is used here rather than a specific claim.

Tomasz Reder covers land registers, registered charges and the identifiers a register accepts as a search key across the jurisdictions in this service. His method starts from the field the register actually indexes on, not the name a form invites you to type. Where a register runs on a cadastral number rather than a name, he flags the mismatch before an order is placed rather than after it fails.

Tell us the jurisdiction and the record you are after; we return the route, the issuing authority and the limit. If the document does not exist in this jurisdiction or cannot be obtained for you, we say so before you pay and we do not take the order. Where the route is confirmed and ready, you can also start an order for the equivalent document.

REGISTRUM obtains and delivers official records issued by public registers and licensed registered agents. This page describes what those records contain and how they are obtained. It is not advice on the legal effect of any record. To order, write to info@registrumfirm.com.
