REGISTRUM

Certificate of incorporation in Sri Lanka

A certificate of incorporation (certified copy) from Sri Lanka is the confirmation that a company was formally registered, carrying its name, registration number and the date incorporation took effect. REGISTRUM obtains the certified copy through the applicable route, with the issuing authority and the fee confirmed before any order is accepted.

What this document shows

A Sri Lanka certificate of incorporation – the certificate of incorporation (certified copy) Sri Lanka applicants order through REGISTRUM – records the moment a company came into existence under the law in force in Sri Lanka, and a certified copy repeats that record rather than updating it. Where the certified copy is issued against the original filing, it carries the company's registered name, its registration number and the date on which incorporation took effect. These three elements sit at the centre of the document, because they are the facts a certificate of incorporation exists to confirm.

Beyond the core three, the certified copy commonly states the legal form under which the company was registered and, where the filing recorded one, the registered office address at the date of incorporation. Where the company has since changed its name or its registered form, the certificate does not update automatically; it reflects the position as filed at incorporation, not the company's current standing. A separate extract, drawn from the live register rather than the incorporation filing, would be needed to show the company as it stands today.

As a Sri Lanka company document, this certificate sits within a family of records REGISTRUM obtains under its corporate practice, alongside extracts and confirmations of good standing. The document is typically issued as a single certified page, sometimes with a certification statement attached by the issuing office or the registered agent handling the request. Where the certification is added by a registered agent rather than the register itself, the certificate should be read together with that agent's own attestation, because the two together form the chain the receiving party will check.

The regime under which this record is held in Sri Lanka is being confirmed against the primary source; REGISTRUM sets out the confirmed field list at the point an order is placed, rather than before.

What it does not show

A certificate of incorporation (certified copy) confirms that a company was formed; it does not confirm that the company still exists or is in good standing today. Nor does it confirm that the company still carries the name recorded at incorporation. Where a company has been struck off, dissolved or renamed since formation, the certified copy reads exactly as it did on the day of incorporation. A reader treating it as a statement of current status is reading a historic document as if it were a live one.

Current directors, shareholders of record and the registered office as it stands today are not on this document. Each sits on the live corporate record, reached through a certified Sri Lanka extract rather than through the incorporation filing. Where the question is beneficial ownership – the natural person behind the registered shareholder – that information sits on a further register, where Sri Lanka holds it at all. Its access rule is being confirmed against the primary source.

Charges over the company's assets, insolvency filings, court proceedings and tax position are each held on a separate record, and none of them is reached through a certificate of incorporation. Where a receiving party expects the certificate to confirm that no insolvency procedure is open, the certificate cannot do so. The insolvency layer is searched as a separate order. Whether each of those registers in Sri Lanka is open to a foreign applicant, restricted or closed, is being confirmed against the primary source.

Historic records carry their own gap. Where the register has been reorganised or migrated since the company was formed, an older incorporation filing may not be retrievable by the same key used for a recent one. The certified copy for a long-established company can then take a different route from the one used for a company formed last year. Where that gap applies in Sri Lanka, REGISTRUM states it before the order, and does not take payment for a copy the register cannot produce.

How it is obtained

Where the certified copy is issued by the authority that keeps the corporate register in Sri Lanka, REGISTRUM requests it through the route that authority sets. The issuing authority for this jurisdiction is being confirmed against the primary source before it is named to a client, and no office is named from memory. The official fee is confirmed in the same step, together with the date on which it was checked.

Where the register's online service is built around a national identifier or an electronic signature issued only to residents, a foreign applicant stops at the first screen. This is the barrier most often met on a Sri Lanka company document request. Where it applies, the route runs through a licensed registered agent in the jurisdiction, who holds the local means of access and submits the request on the applicant's behalf. Whether a direct request is also open to a foreign applicant is being confirmed against the primary source.

Where the register issues the certificate in Sinhala, Tamil or English, the language of the original is confirmed before the order. Where an English version is not issued by the register itself, a certified translation is ordered as a separate step rather than assumed to be part of the base document. Which language the Sri Lanka certificate of incorporation carries, and whether a bilingual form exists, is being confirmed against the primary source.

Where the certified copy is to be presented outside Sri Lanka, an apostille or a further legalisation step can be added once the document is issued. The apostille certifies the signature and the seal, not the truth of the content, and the receiving party decides whether it is required. Reuse follows a per-document basis: each copy is issued for the use stated at the time of order, and a further use calls for a fresh copy.

Price and timeline

Price on request. The fee is confirmed once the issuing authority and the tariff for Sri Lanka have been checked against the primary source, and it is quoted before any payment, together with the expected turnaround. Apostille, certified translation, courier delivery and rush processing are available as add-ons, each confirmed as a separate line once selected. If the document does not exist in this jurisdiction or cannot be obtained for you, we say so before you pay and we do not take the order.

How long does a certificate of incorporation (certified copy) from Sri Lanka take?

Where the route runs through a licensed registered agent in the jurisdiction, the turnaround is the register's own handling time plus the agent's step. Neither figure is quoted before the access regime for Sri Lanka has been confirmed against the primary source. REGISTRUM states the expected timeline together with the fee, before the order is placed, and confirms separately whether rush processing is available from this register at all.

Will a Sri Lanka document be accepted abroad without an apostille?

Acceptance is decided by the receiving party in the destination country, not by the register in Sri Lanka and not by REGISTRUM. Where the receiving party asks for an apostille, that step is ordered once the certified copy has been issued. The apostille certifies the signature and the seal on the document, not the accuracy of its content. Where the receiving country is outside the apostille framework, a further legalisation step is confirmed case by case.

What does a certificate of incorporation (certified copy) in Sri Lanka not show?

It does not show current directors, shareholders, registered office, beneficial ownership, charges, insolvency filings, court proceedings or tax position. It does not confirm that the company still exists today. Each of those sits on a separate record. Where a file needs the present position, a certified Sri Lanka extract from the live register is the document meant, and the certificate of incorporation is ordered alongside it rather than in place of it.

Can a foreign firm order a Sri Lanka certificate of incorporation without a local presence?

Where the register accepts a direct request from outside the country, no local presence is needed and REGISTRUM says so. Where the online service expects a national identifier or a local electronic signature, the request is placed through a licensed registered agent in the jurisdiction. A power of attorney may or may not be asked for. Which of the two applies in Sri Lanka is being confirmed against the primary source and stated before the order.

Does the certified copy show the company's current name if it has changed?

Where the company has been renamed since formation, the certificate carries the name as filed at incorporation, not the current one. A receiving party matching the certificate against a contract in the new name will see a mismatch. Where that is the case, a separate record showing the change of name, or a certified Sri Lanka extract carrying both names, is ordered alongside the certificate. The chain between the two names is then documented.

State the entity, the jurisdiction and the date you need it by; we confirm availability and the fee before you pay.
