Certificate of Incumbency in Bermuda – official record

A certificate of incumbency for a Bermuda company confirms the directors and officers recorded against the company on the date of issue. It is a snapshot, not a history. REGISTRUM obtains this record through a licensed registered agent in the jurisdiction; the access regime and the official fee for this document are being confirmed against the primary source.

What a certificate of incumbency shows

As with any Bermuda company document, the certificate names the company as it stands on the date of issue. It states the registered number. It also states the registered office address held for the company, which is usually the agent's office, not a trading address.

The certificate lists the directors and officers holding office on that date. Some versions add the company secretary. Each is named as recorded, with no supporting identity document attached to the entry.

Good standing is usually confirmed on the same page. This means the company has met its filing obligations up to the date of issue. It is not a statement about solvency, and it is not a comment on trading performance.

The certificate carries the date of issue and a signature on behalf of the registered agent. Some requests ask for shareholders of record to be added. Whether that field sits on the standard Bermuda form is being confirmed against the primary source, and REGISTRUM states this before an order is placed.

The certificate also states the company's registered number and its date of incorporation, drawn from the file the agent holds. A reader comparing two certificates for the same company should check both dates: the date of incorporation does not change, but the date of issue does, and it is the second date that fixes what the officer list means.

Some orders ask for the certificate to confirm the company's status as active, rather than dissolved or struck off. That status line sits alongside the officer list on the same document, not on a separate page. A reader who only needs the status, and not the full officer list, still receives the same certificate; Bermuda does not issue a shorter form for that narrower question.

Because the certificate is a snapshot, an earlier one for the same company can show different officers. A certificate issued some time ago may no longer reflect the current position. Ordering a fresh certificate confirms today's position; it does not update an old one.

What it does not show

The certificate does not show beneficial ownership. Bermuda holds beneficial ownership information on a register that is separate from the incumbency record, and access to it is restricted under the law in force in Bermuda.

It does not show charges or mortgages registered against the company's assets. Those sit on a separate charges record, where one exists, and a reader needing security interests must order that record on its own.

It does not show litigation, insolvency proceedings or a winding-up petition. Court filings sit with the courts, not with the companies register, and a certificate of incumbency will not mention either.

It does not show past officers. Only the position on the date of issue is stated, so a director who resigned the week before will not appear, and one who resigned the week after will still be listed.

It does not show financial standing. Good standing on this certificate is a filing status, not a solvency opinion, and REGISTRUM does not state what a lender or counterparty should conclude from it.

It does not show shareholders unless that field is separately requested and confirmed as available. Where the register that holds this detail is closed to public search, REGISTRUM says so before the order is placed rather than after.

It does not show the company's memorandum or bye-laws, and it does not reproduce the register of members. Those documents are ordered separately, where they can be obtained at all, and a reader assuming the certificate stands in for either will be working from an incomplete file.

How it is obtained

REGISTRUM obtains a Bermuda certificate of incumbency through a licensed registered agent in the jurisdiction. Direct search by an applicant outside Bermuda is not the normal route for this record.

The issuing authority for this certificate, and the official fee charged for it, are being confirmed against the primary source. REGISTRUM's own fee for the ordered service is stated before payment, and is never disclosed as a range.

Turnaround is confirmed at the point of order, once the registered agent has completed the search. A reader with a closing date should state it when instructing REGISTRUM, so the confirmed date can be checked against it before the order is accepted.

Where the fee is confirmed, REGISTRUM records the date on which it was checked against the agent's own tariff, and that date travels with the order rather than being quoted from memory later.

The certificate is issued in English; a certified Bermuda extract of the same file can also be requested where a shorter form is needed. No translated version is produced automatically; a certified translation is available from REGISTRUM as an add-on where the destination requires one.

A foreign applicant does not need a Bermuda national identifier, a local electronic signature or a Bermuda address to obtain this record. The registered agent handles the request on the applicant's behalf; this is the route, not an inconvenience worked around.

No entry key or cadastral-style reference is needed to request this certificate; the company name and its registered number are sufficient to identify the file with the agent.

Bermuda's companies register is not searched directly online by the public in the way some onshore registers are. That structural position is why REGISTRUM routes every incumbency request through a registered agent, rather than treating the agent step as an added cost.

Reuse of the certificate is limited to the ordering party's own file. Redistribution to a third party beyond the matter for which it was ordered is not covered by the fee; see the note on reuse and redistribution below.

Price, timeline and add-ons

Price on request. REGISTRUM confirms the exact fee once the company and the jurisdiction are stated, and never publishes a range.

Apostille, certified translation, courier delivery and a rush service are available as add-ons, each extending or shortening the standard turnaround by an amount confirmed at the time of order.

If the document does not exist in this jurisdiction or cannot be obtained for you, we say so before you pay and we do not take the order.

How long does a certificate of incumbency from Bermuda take?

The turnaround is confirmed once the registered agent has completed the search, because the regime for this register is being verified against the primary source. REGISTRUM states the delivery date before payment is taken, and a reader with a closing date should share it at the point of instruction so it can be checked against the confirmed date.

Will a Bermuda document be accepted abroad without an apostille?

REGISTRUM does not assess whether a third party will accept a document; acceptance depends on the requirements of the receiving authority, not on REGISTRUM. Apostille is available as an add-on where the destination asks for it, and REGISTRUM confirms whether that add-on applies to a Bermuda certificate before the order is placed.

What does a certificate of incumbency in Bermuda not show?

It does not show beneficial ownership, charges over company assets, litigation or insolvency proceedings, or past officers who have since left office. Each of these sits on a separate record, where one exists, and REGISTRUM states which register holds it before an order is placed.

Does a certificate of incumbency show beneficial ownership in Bermuda?

No. Beneficial ownership is held on a register that is separate from the incumbency record, and access to it is restricted under the law in force in Bermuda. A reader needing that information should ask REGISTRUM whether a separate route exists before assuming this certificate covers it.

Can REGISTRUM obtain a certificate of incumbency without visiting Bermuda?

Yes. The request is handled through a licensed registered agent in the jurisdiction, and a foreign applicant does not need a Bermuda address, a local electronic signature or a Bermuda national identifier to obtain the record. REGISTRUM instructs the agent directly once the order is confirmed.
