REGISTRUM

Certificate of Incumbency in Mauritius – official record

A certificate of incumbency for a Mauritius company confirms who currently runs it: directors, officers and registered agent, with a statement of good standing at the date of issue. REGISTRUM obtains it through a licensed registered agent in Mauritius. The fee and the access regime for the underlying register are confirmed before each order.

What this document shows

M&A teams often need this document ahead of a closing date, when a counterparty asks who is currently authorised to sign on behalf of a Mauritius entity. A certificate of incumbency answers that question directly. It is a single attestation, prepared by the company's registered agent, rather than an extract pulled straight from the companies register.

The record ordinarily sets out the following, as a signed statement rather than a form the reader completes:

The content of each field varies from one company to the next. A dormant entity may return a short list of names. An active operating company may return several directors and a longer officer list. This is a certified Mauritius extract of current standing, not a history: it speaks only to the position on the day it is signed, not to any earlier date.

Buyers, banks and counterparties typically ask for a Mauritius certificate of incumbency, and less often for the equivalent extract, when they need confirmation of signing authority rather than a full corporate history. A certificate of incumbency Mauritius transaction teams request most often accompanies a set of constitutional documents, not in place of them.

What it does not show

A certificate of incumbency is not a beneficial ownership extract. It does not name shareholders. It does not trace who ultimately controls the company behind its directors. That information, where it exists on a Mauritius register at all, sits in a separate record – a point covered in more depth in our comparison of a certificate of incumbency against a beneficial ownership extract.

It does not show charges, mortgages or security registered against the company's assets. It does not show pending litigation, insolvency proceedings or a winding-up petition. It does not show financial statements, turnover or tax status. None of this sits within the scope of an incumbency certificate anywhere it is issued, not only in Mauritius.

It also does not show intellectual property held by the company. Trade marks, patents and similar rights, where the company holds any, sit in Mauritius's intellectual property registers, not in the corporate file.

The precise access regime for the underlying Mauritius corporate record – whether the register itself is open to a member of the public, restricted to interested parties, or reachable only through the registered agent – is being confirmed against the primary source. Until that confirmation is in, we describe the route rather than the register's openness.

How it is obtained

A Mauritius certificate of incumbency is not pulled from a public counter. It is prepared and signed by the company's registered agent – a licensed intermediary, not a government office – working from the agent's own file on the company. See our glossary of corporate register terms for what "registered agent" and "good standing" mean across jurisdictions.

REGISTRUM places the order with a licensed registered agent in the jurisdiction. We do not deal directly with the reader's counterparty or with any government authority on the reader's behalf. The official fee charged by the agent, and the exact turnaround this route allows, are confirmed against the primary source before the order is placed, and again before payment. Neither is settled at the moment this page is published, so we do not quote a figure here.

The certificate is issued in English. Mauritius corporate filings are conducted in English as a matter of course, so no separate translation is normally required for this Mauritius company document.

A foreign applicant does not need a Mauritian electronic signature, a local national identifier or a Mauritius-resident representative to place this order. The registered agent handles the request domestically. The reader deals only with REGISTRUM.

Reuse is limited to the specific matter the certificate was ordered for. It is supplied for that use only, not for republication or bulk onward supply.

Price and timeline

Price on request: the confirmed fee is quoted before payment. Apostille, certified translation, courier delivery and a rush service can each be added to the order; the extra time each adds is confirmed with the quote, not fixed in advance. If the document does not exist in this jurisdiction or cannot be obtained for you, we say so before you pay and we do not take the order.

How long does a certificate of incumbency from Mauritius take?

The normal turnaround for this route is confirmed once the fee and the access regime for the register are verified against the primary source. That confirmation is currently outstanding, so we do not quote a figure here. The confirmed timeline is given before you place the order, alongside the fee, so you know both before you pay.

Will a Mauritius document be accepted abroad without an apostille?

Acceptance abroad is decided by the receiving authority, not by REGISTRUM, and we do not state what a receiving party will or will not accept. An apostille is available as an add-on for this order where the destination requires it. Where the destination does not require legalisation, the certificate is supplied as issued by the registered agent.

What does a certificate of incumbency in Mauritius not show?

It does not show beneficial owners, charges over the company's assets, pending litigation, insolvency proceedings, financial statements or intellectual property. Those sit in separate records, some open, some restricted, and the certificate does not substitute for any of them. See the limit section above for the full list.

Can REGISTRUM obtain this certificate without the reader travelling to Mauritius?

Yes. The order is placed with a licensed registered agent already established in Mauritius, who prepares and signs the certificate from the agent's own file on the company. The reader does not need a Mauritius-resident representative, a local electronic signature or a national identifier to obtain a Mauritius certificate of incumbency through this route.

Does a certificate of incumbency replace a set of constitutional documents?

No. It confirms who currently holds office, not the terms under which the company operates. Constitutional documents – the constitution and any shareholder agreement lodged with the agent – are ordered separately, and a transaction team typically requests both rather than one in place of the other.

State the entity, the jurisdiction and the date you need it by; we confirm availability and the fee before you pay.
