REGISTRUM

Insolvency status certificate in Bermuda

A Bermuda insolvency / bankruptcy status confirms whether a named company has an active insolvency or winding-up entry against it, as at the date of search. It is a snapshot, not a history. REGISTRUM confirms availability and the fee before you order, and states plainly what the certificate does not cover.

What this document shows

The certificate names the entity searched. It states the date the search was run. It gives a plain result: an entry was found, or none was.

A document correctly issued by a register can still be refused abroad. The refusal is usually about form, language or legalisation, not about content. This page sets out what REGISTRUM confirms before you order, not what any receiving authority will accept.

The certificate is a point-in-time extract. It reflects the record as held on the day of search. An event from the previous week may not yet appear.

The register that carries this information for Bermuda, and the exact fields a search returns, are being confirmed against the primary source. REGISTRUM does not list fields it has not itself verified. Where confirmation is complete, this page is updated.

The shape of the result is consistent across comparable jurisdictions. A clear result states that no entry was found. An adverse result states that one was. Neither result carries commentary on what it means for a transaction.

For an M&A team, that distinction matters. The certificate answers a factual question about the entity named. It does not answer whether a counterparty is sound, or whether a transaction should proceed. That reading sits with the reader and their own professional advisers.

Ordering this certificate is common ahead of a closing date. A deadline set by a transaction schedule leaves little room for delay if the register's own process is slow. REGISTRUM confirms the expected turnaround before you commit to that date, not after.

A search can be run against more than one name variant, where the entity has traded under more than one. That does not change what the certificate covers. It changes only which name the result is matched against.

The certificate sits alongside other documents in a due diligence file, within the wider set of Bermuda company documents ordered for that purpose. On its own, it answers one question about one entity. Combined with a memorandum and articles of association, or a court filing, it forms part of a wider picture that REGISTRUM does not assemble on the reader's behalf. Where the register issues it in that form, REGISTRUM delivers the certificate as a certified Bermuda extract.

What it does not show

The certificate does not show the reasoning behind an entry. It does not show a linked court filing, or the identity of a liquidator if one has been appointed. Those particulars, where they exist, sit in separate court or gazette records.

It does not cover related parties. A parent, a subsidiary or a director's own position is not part of a single-entity search. Each entity needs its own search, run and dated on its own.

It does not show a pending matter that has not yet been entered. A petition filed but not yet recorded will not appear. The certificate will return a clear result. That gap is structural. It is not an error in the search.

Where an insolvency entry does exist, the wider case file – petitions, orders, and the appointment of a liquidator – is usually held by the court or published in an official gazette, not by the register that issues this certificate. Obtaining that file is a separate order, with its own route and its own fee.

Whether a foreign applicant can search the underlying register without a local representative is a separate question from what the certificate contains once issued. That access position for Bermuda is being confirmed against the primary source, and this page will state it plainly once confirmation is complete.

None of these limits is a defect in the certificate. Each reflects what a status search is designed to answer, and what it was never designed to hold.

How it is obtained

The issuing authority for this record in Bermuda, and the fee it charges, are being confirmed against the primary source. REGISTRUM does not publish a fee it has not verified itself. Once confirmed, the figure will carry the date it was checked.

Normal turnaround is set once availability is confirmed. REGISTRUM states the expected number of working days before you place an order, not after it.

The language in which the certificate is issued, and whether an English-language version exists, is confirmed at the same point as the fee. REGISTRUM does not assume a translation is unnecessary; it checks.

Whether a foreign applicant can obtain the certificate without a local representative, a Bermuda-issued electronic signature or a national identifier is part of the same check. Where a licensed registered agent in the jurisdiction is required to submit the request, REGISTRUM routes it that way. We say so at the point of order, not afterwards.

A search here is run against the entity's name, not against a case reference or an internal key. That is a simpler starting point than jurisdictions where a search by name returns nothing without the right reference first.

Where a closing date is fixed, a rush service can shorten the same route. REGISTRUM confirms the reduced number of days at the same point it confirms the standard timeline, so the quote you receive reflects the real date, not an estimate.

None of this – the authority, the fee, the language position – is stated as settled until the primary source confirms it. REGISTRUM would rather hold a figure back than publish one that does not match the register on the day you order.

Reuse is governed on a per-document basis. Each copy is licensed for the matter it was ordered for. It is not licensed for onward republication.

Price and timeline

Price on request. REGISTRUM confirms the fee and the delivery window before you pay, not after. Apostille, certified translation, courier delivery and a rush service can each be added to the order, with the additional working days stated at the same time as the fee.

If the document does not exist in this jurisdiction or cannot be obtained for you, we say so before you pay and we do not take the order.

How long does a insolvency / bankruptcy status from Bermuda take?

Normal turnaround is set once availability against the primary source is confirmed. REGISTRUM states the expected number of working days before you order, not after. A rush service can shorten that window. The reduced timeline, and its own fee, are confirmed at the same point.

Will a Bermuda document be accepted abroad without an apostille?

Acceptance abroad is a matter for the receiving authority, not for REGISTRUM. An apostille can be added to the order where the destination requires one. Whether Bermuda's apostille takes the form your destination expects is confirmed before you order, not after. REGISTRUM does not state that any document will be accepted by a named third party.

What does a insolvency / bankruptcy status in Bermuda not show?

It does not show the reasoning behind an entry, a linked court filing, or the position of related entities such as a parent or subsidiary. Those sit in separate records. It also does not show a pending matter that has not yet been entered, which is a structural gap, not an error in the search.

Does REGISTRUM confirm a Bermuda insolvency status before I order it?

Yes. REGISTRUM checks availability, the issuing authority and the fee against the primary source before you pay. The outcome is stated in writing. Where the record cannot be obtained for the entity you name, we say so at that stage. We do not take the order in that case.

Does REGISTRUM say what an adverse insolvency result means for a deal?

No. REGISTRUM delivers the record as issued, and describes what it contains and how it was obtained. Reading what a clear or adverse result means for a specific transaction sits with the reader and their own professional advisers. REGISTRUM does not offer that reading as part of the order.

To order, state the entity, the jurisdiction and the date you need it by. REGISTRUM confirms availability and the fee before you pay, and if the search cannot be completed for the entity you name, we say so at that point rather than after you have paid.

Prefer to run the check yourself first? The step-by-step guide to obtaining an insolvency status in Bermuda sets out the same route without placing an order.

REGISTRUM obtains and delivers official records issued by public registers and licensed registered agents. This page describes what those records contain and how they are obtained. It is not advice on the legal effect of any record. To order, write to info@registrumfirm.com.
