Memorandum and articles in Morocco – official record

A memorandum & articles / constitutional documents record from Morocco sets out an entity's registered name, its objects and its governance rules as filed with the register. This page states what it covers, what it leaves out, and the route – authority, fee and turnaround – for a jurisdiction where the access regime is still being confirmed.

What this document shows

A memorandum & articles / constitutional documents record, across the jurisdictions REGISTRUM handles, is built around five fields, and the Morocco version is expected to follow the same family:

Which of these five fields the Moroccan register actually holds for a given entity, and in what form the certified copy is issued, is being confirmed against the primary source. The chain runs in three links. First, the register confirms that constitutional documents were filed for the entity named. Second, it identifies the version on file – original articles, or the latest consolidated version after amendment. Third, it produces a certified copy of that version, bearing the register's own certification rather than any commentary from REGISTRUM.

The second link matters more than it looks. A Morocco memorandum and articles record on file may be the version adopted at formation, with later amendments filed as separate documents, or it may be a consolidated text. Which the register returns by default, and whether the amendments can be ordered alongside it, is confirmed before the order is placed. A certified Morocco extract of the current registration entry is a different order again; it is not implied by the constitutional documents and does not substitute for them.

For a firm assembling a file abroad, this Morocco company document usually sits beside a register of directors and a certificate of good standing. Each is issued by a separate desk and ordered separately, so that the client knows which document carries which fact and on which date.

What it does not show

Constitutional documents record how an entity was set up to be governed. They do not record who governs it today. First, the current managers or directors are not shown; an appointment made after filing sits on the register of directors, where Morocco keeps one, or in the filing history. Second, the current shareholders are not shown, except where the articles themselves list the founders and no later transfer has been filed. Beneficial ownership sits in a separate layer, and whether that layer is open to a foreign applicant is being confirmed against the primary source.

Third, the record does not show whether the entity is active, dissolved or in liquidation. Status is a field of the current registration entry and of the certificate of good standing, not of the articles. Fourth, charges, mortgages and other security over the entity's assets are held on a separate register with its own access rule. Fifth, court proceedings, insolvency filings and tax status sit with the courts, the official gazette and the tax authority, and none of them is reached through this order.

Whether the corporate register in Morocco is open to a request by name from outside the country, restricted to a registration number, or closed without a local step is being confirmed against the primary source. Where the closure is structural – a residency requirement, a national identifier, an electronic signature issued only within the country – REGISTRUM names the structure once confirmed. It does not describe it as a general difficulty that applicants face.

How it is obtained

The route to a certified copy of the memorandum & articles / constitutional documents Morocco holds runs as a numbered chain, and each link is checked before it is quoted. First, the issuing authority for the corporate register is being confirmed against the primary source; REGISTRUM does not name an authority it has not checked. Second, the official fee for a certified copy is being confirmed in the same way, and is stated to the client with the date on which the tariff was read. Third, the normal turnaround depends on the confirmed process – written request, counter visit by a local representative, or electronic issue – and is stated once that process is known.

Fourth, language of issue. The record is expected to be held in Arabic or French, and whether the register offers an English rendering of its own is being confirmed. Where none exists, a certified translation is ordered as a separate add-on, bound to the original rather than replacing it. Fifth, access for a foreign applicant. Some registers accept a request from outside the country directly; others require a local representative, a national identifier or an electronic signature the applicant does not hold. Which applies in Morocco is being confirmed, and where direct access is confirmed absent, REGISTRUM places the request through a licensed registered agent in the jurisdiction.

Sixth, certification for use abroad. Where the client needs the copy for a filing in another country, an apostille or another form of legalisation is added as a separate step after issue. An apostille certifies the signature and seal of the issuing office; it does not certify that the content is accurate or current. Reuse of the record is per document: each certified copy is issued for the use stated at order, and a later use calls for a fresh copy rather than a re-issue of the first.

Price and timeline

Price on request. The fee is confirmed once the issuing authority and its tariff for Morocco have been checked against the primary source, and stated before any payment is taken. Apostille, certified translation, courier delivery and rush processing are available as add-ons, each confirmed as a separate line once selected. If the document does not exist in this jurisdiction or cannot be obtained for you, we say so before you pay and we do not take the order.

How long does a memorandum & articles / constitutional documents from Morocco take?

The normal handling time for the Moroccan corporate register is being confirmed against the primary source. REGISTRUM does not quote a turnaround before that check, because a figure taken from memory can be wrong in either direction. Once the issuing authority and its process are confirmed, the timeline is stated to the client together with the fee, before any order is placed.

Will a Morocco document be accepted abroad without an apostille?

Acceptance is decided by the receiving authority in the destination country, not by REGISTRUM. Most foreign registrars, banks and courts ask for an apostille or another form of legalisation on a Moroccan record before accepting it. An apostille certifies the signature and seal of the issuing office; it does not certify that the content is accurate or that the articles are still the version in force.

What does a memorandum & articles / constitutional documents in Morocco not show?

It does not show current directors, current shareholders, beneficial owners, entity status, registered charges, court proceedings or tax status. It reproduces the governance text as filed – name, legal form, registered office, objects, share capital and the rules adopted by the founders. Each of the missing items sits on a separate register or with a separate authority, and each is a separate order.

Does the certified copy include amendments filed after formation?

That depends on what the register holds and what it issues by default. Some registers return the original articles with amendments as separate filings; others return a consolidated text. Which form the Moroccan register produces, and whether amendments can be ordered alongside the original, is confirmed before the order is placed, so the client knows which version is being delivered.

Can REGISTRUM order a register of directors for the same Moroccan entity at the same time?

Yes, as a separate order against a separate desk. The register of directors carries the current appointments on the search date, which the articles do not. The two are usually ordered together when a receiving party wants both the governance rules and the names of the persons currently authorised under them. Availability of each for a foreign applicant is confirmed before payment.

State the entity, the jurisdiction and the date you need it by; we confirm availability and the fee before you pay.
