Register of members in Luxembourg – official record
A register of members – or register of shareholders, where the company issues shares – records who holds a company's capital, class by class, at the date of issue. REGISTRUM confirms availability, the issuing route and the fee for a named Luxembourg company before payment, and says plainly where a detail is not yet confirmed against the primary source.
What this document shows
A register of members sets out the holders of a company's capital as the company itself records them, rather than as a court or a tax authority might record ownership for other purposes. This document is sometimes called the Luxembourg register of members, or the Luxembourg register of shareholders where capital is divided into shares rather than corporate units; as a Luxembourg company document it is requested against one named entity, not a class of companies generally. The distinction matters mainly at the margin, where a company's own constitutional documents determine which term applies to its capital.
Where such a register is issued to a third party, the extract commonly carries a defined set of fields. Full name and address, class and number of shares, date of entry, date of transfer, par value where applicable. Some companies additionally record the amount paid up on each share and any pledge noted against it, though this is not universal across companies or across jurisdictions.
Content varies by company and by the date the extract is taken. A holding recorded last month will not appear on an extract dated a year earlier, and a transfer awaiting entry will not appear until the company itself records it. This is a snapshot of the register on the day it is issued, not a running history, unless a full history is separately requested.
For a Luxembourg company specifically, whether the document is held in a form a third party can request, and which of these fields an issued extract in fact carries, is being confirmed against the primary source at the point an order is placed. This applies equally to the register's existence in a requestable form, not only to its fee. Where the position cannot be confirmed before payment, REGISTRUM says so and does not take the order.
What it does not show
A register of members answers one question only: who is recorded as holding the company's shares on the date of issue. It does not show whether the recorded holder is acting for someone else, whether the shares are pledged as security, or whether the company is solvent. It also does not confirm the company's financial position: no balance sheet figure, no turnover figure and no statement of solvency appears on this extract.
Security interests granted over shares or other company assets are commonly recorded in a distinct register of charges rather than in the register of members; the two rarely overlap in a single document. Litigation involving the company, and any insolvency proceeding against it, sit in court and gazette records outside the corporate register altogether. Beneficial ownership – who ultimately benefits from a holding, as distinct from who is named as holding it – sits in yet another register with its own access terms. None of these appear on a register of members extract, however current.
Whether each of these separate registers is open to a third-party request, restricted to a party with a defined interest, or closed outright under the law in force in Luxembourg, is confirmed record by record before REGISTRUM accepts an order. A statement of access made without that confirmation is not one REGISTRUM will make.
How it is obtained
Issuing authority, official fee, verification date, turnaround, language of issue – each pending confirmation for this specific order. The register held against a named Luxembourg company is checked before an order is accepted, and REGISTRUM does not state an authority name or a fee it has not itself confirmed.
Once confirmed, the fee and the issuing authority are set out in the order confirmation sent before payment is taken. Turnaround for this order follows the standard timeframe shown in the order details on this page; a rush service is available as an add-on where the underlying route allows it.
Whether the extract is issued in French, German or English, and whether an English-language version exists as a matter of course or only on request, forms part of the confirmation returned before an order is accepted. The same check covers whether a foreign applicant – a company outside Luxembourg, or an individual without a Luxembourg national identifier – can request the document directly or only through a licensed registered agent in the jurisdiction.
Where the receiving party abroad requires the extract in an apostilled or a certified form, that requirement is handled as part of the order rather than assumed in advance. A certified Luxembourg extract and an apostilled Luxembourg extract are not always the same product, and REGISTRUM confirms which one the intended use requires before adding it to the order.
Each extract REGISTRUM supplies is issued for use in connection with the matter for which it was ordered. REGISTRUM does not license the content of a register of members for onward redistribution, or for use in a matter unrelated to the order originally placed.
Price and timeline
Price for this order is on request: REGISTRUM confirms the fee for a Luxembourg register of members once availability is checked, and the figure shown before payment is the figure charged. Add-ons available against this order are apostille, certified translation, courier delivery and a rush service; each is priced and timed against the specific order rather than assumed in advance. If the document does not exist in this jurisdiction or cannot be obtained for you, we say so before you pay and we do not take the order.
How long does a register of members / shareholders from Luxembourg take?
Turnaround depends on whether the register is confirmed as available for the company named in the order, and on which add-ons are requested alongside it. The standard timeframe for this order is set out in the order details on this page. A rush service is available where the underlying route allows it, and is priced separately from the base order.
Will a Luxembourg document be accepted abroad without an apostille?
Acceptance abroad is decided by the receiving authority, not by REGISTRUM. An apostille addresses the authenticity of the signature and seal on the Luxembourg document; it does not address what the document's content means for the matter it supports. Where the receiving party requires legalisation, apostille is available as an add-on to this order.
What does a register of members / shareholders in Luxembourg not show?
It shows recorded holders of the company's capital on the date of issue, and nothing beyond that. Beneficial ownership, security interests over the shares, litigation and insolvency status each sit in separate registers with their own access terms. None of them appear on this extract, whatever its date.
Can the order be placed by a company or individual outside Luxembourg?
Availability to a foreign applicant is confirmed for the specific company named in the order before payment is taken, including whether a local representative or a Luxembourg national identifier is required. REGISTRUM states the position plainly and does not proceed with an order it cannot confirm.
Is the register of members held at a public registry, or does the company keep it itself?
In many jurisdictions a company keeps its own register of members, with a registry holding only a filed copy or a summary rather than the full register. Whether Luxembourg follows this pattern for the company named in the order, and which body can issue a certified extract of it, is confirmed before the order is accepted.
State the entity, the jurisdiction and the date you need it by; we confirm availability and the fee before you pay. For the fields a register of members ordinarily contains and the routes available across jurisdictions generally, see the register of members overview.
REGISTRUM obtains and delivers official records issued by public registers and licensed registered agents. This page describes what those records contain and how they are obtained. It is not advice on the legal effect of any record. To order, write to info@registrumfirm.com.
