Certificate of Good Standing in Cayman Islands

A certificate of good standing for a Cayman Islands company states that the entity remains registered and has met its filing position as at the date of issue. It does not confirm ownership, licensing or litigation. REGISTRUM checks the current issuing route and the fee before any order is confirmed.

What this document shows

The published figure for this document is REGISTRUM's charge for obtaining and delivering it, not the full cost of a completed order. Apostille, certified translation, courier delivery and rush handling are separate lines, added only where the reader actually needs them.

A certificate of good standing Cayman Islands companies request typically records four things: the registered name of the entity, its incorporation number, its current status on the register, and the date as at which that status is confirmed. Some versions also carry the date of incorporation and the type of company recorded at registration – exempted, ordinary resident, or another form.

The exact field set used for a Cayman Islands company document is confirmed at the point of order, because the current layout issued by the register is being checked against the primary source. What does not vary is the purpose of the certificate: it is a snapshot, not a running record. A certified Cayman Islands extract of this kind speaks to one moment, not to the company's full history.

Good standing, in this context, is a narrow claim. It means the entity has not been struck off and has filed what the register required of it by the relevant date. It does not mean the company is solvent, well managed, or free of disputes. A reader who needs a Cayman Islands certificate of good standing for a closing, a bank account opening, or a tender submission should treat it as confirmation of registered status, not as a wider clearance.

Where a foreign counterparty asks specifically for "a certificate of good standing", REGISTRUM confirms whether that is the document the Cayman Islands register actually issues under that name, or whether the closest equivalent carries a different local title. That check happens before the order is placed, not after the document has been paid for.

None of this changes for an SME exporter buying the certificate to satisfy a bank abroad. The document answers the same narrow question regardless of who asks for it. What changes is the cost around the fee – apostille, translation, courier – and that is set out before the order, not on the invoice.

What it does not show

The certificate does not name the owners. Shareholders and beneficial owners of a Cayman Islands company are held on separate records, and whether a foreign applicant can reach either of them is being confirmed against the primary source. A reader who needs ownership orders a different document, not a longer certificate.

It does not show directors. The names of the persons managing the company sit on a register of directors, which has its own access rule. The certificate of good standing confirms the company is on the register; it says nothing about who runs it.

It does not show licences. An entity carrying on a regulated activity in the Cayman Islands holds its licence on a licensing record kept apart from the corporate register. Whether that record is open to a foreign applicant is being confirmed against the primary source, and the certificate is silent on the point either way.

It does not show debts, charges or proceedings. A charge over the company's assets sits on a charges record; a winding-up petition sits with the court. Neither appears on a good standing certificate, and a clean certificate is not a statement that no charge or proceeding exists.

It does not speak beyond its date. A certificate issued on one day confirms the position on that day only. If the company fails a filing a week later, the certificate already issued is unchanged and still reads as clean. A reader working to a closing should ask for the certificate dated as close to that closing as the route allows.

How it is obtained

The register in the Cayman Islands is not an open free search for this document. The certificate is issued on request, against a fee, and the issuing authority for the Cayman Islands is being confirmed against the primary source. REGISTRUM does not name an office it has not checked.

The official fee is a separate figure from REGISTRUM's own charge. It is confirmed against the primary source before any quotation, and stated with the date on which it was checked. No fee is quoted from memory on this page. The same applies to the normal turnaround, which depends on the confirmed issuing route and is stated once that route is settled.

The language of issue is English. That is one of the few points on which a Cayman Islands company document raises no translation question at the point of issue. Where a receiving party abroad works in another language, a certified translation is ordered as an add-on and priced separately.

A foreign applicant does not usually apply in person. Requests for this certificate are commonly placed through a licensed registered agent in the jurisdiction, who holds the local means of access and lodges the request on the applicant's behalf. Whether a direct request from outside the Cayman Islands is accepted for this document is being confirmed against the primary source. No national identifier or local electronic signature is expected of the client in either case; where one turns out to be required, REGISTRUM states it before payment.

Reuse is per document. A certified Cayman Islands extract or certificate is supplied for the use stated at the time of order, and a second use calls for a fresh copy rather than a re-issue. Where an apostille is added, it certifies the signature and seal of the issuing officer, not the truth of the content.

Price and timeline

Price on request. The fee is quoted once the issuing route and the official charge for the Cayman Islands have been confirmed against the primary source, and before any payment is taken. Apostille, certified translation, courier delivery and rush handling are available as add-ons, each confirmed as a separate line when selected. If the document does not exist in this jurisdiction or cannot be obtained for you, we say so before you pay and we do not take the order.

How long does a certificate of good standing from Cayman Islands take?

The turnaround is confirmed before the order, not estimated after it. It depends on the issuing route for the Cayman Islands and on whether an apostille or a courier step follows. REGISTRUM states the expected timeline together with the fee once both have been checked against the primary source. A figure quoted from memory can be wrong in either direction, so none is given here.

Will a Cayman Islands document be accepted abroad without an apostille?

That decision sits with the receiving party, not with REGISTRUM. Many banks and registrars abroad ask for an apostille on a Cayman Islands certificate of good standing before they accept it; some accept the certificate alone. The apostille certifies the signature and seal of the issuing officer, not the truth of the content. REGISTRUM confirms whether the step is available and adds it on request.

What does a certificate of good standing in Cayman Islands not show?

It does not show owners, directors, licences, charges or court proceedings. Each of those sits on a separate record with its own access rule. It also does not show the position after its date of issue. A clean certificate confirms registered status on one day. It is not a clearance of the company's affairs, and REGISTRUM does not present it as one.

Can REGISTRUM check that the company exists before I pay?

Yes. A preliminary check against the register is made before the order is confirmed. If the entity cannot be found under the name or number supplied, REGISTRUM says so and does not take the order. The check is limited to the register entry itself; it does not extend to the company's standing in any wider sense, which is what the certificate then confirms.

Is a certificate of good standing the same as a company extract?

No. A certificate of good standing Cayman Islands registers issue confirms status at a date. A certified Cayman Islands extract reproduces the particulars on file – name, number, type, registered office, and other fields where the register holds them. A reader who needs particulars rather than status orders the extract. Both can be ordered together, and each is priced and timed on its own.

State the entity, the jurisdiction and the date you need it by; we confirm availability and the fee before you pay.
