Certificate of incorporation in Armenia – official record
A certificate of incorporation (certified copy) confirms that a company is registered in Armenia and reproduces the particulars recorded at the point of incorporation. REGISTRUM obtains this record through the corporate register that holds it. The exact access regime and the official fee for this jurisdiction are being confirmed against the primary source before any order is accepted.
What this document shows
A certificate of incorporation (certified copy) works as a chain of linked confirmations, and each link has a defined scope. First, it confirms that an entity under a stated name was entered on the corporate register in Armenia, and it names the date of that entry. Second, it reproduces the legal form under which the entity sits on the register – a field label taken from the register, not a description written by REGISTRUM. Third, where the register still records the entity as active, the certificate carries the registration number a receiving party can check independently later. Read together, the three links answer registration, form and standing, and nothing beyond it.
Beyond these three links, a fourth is added whenever a reader orders it: the registered address as held at the date of issue, together with the date the certified copy itself was produced. This second date is not the date of incorporation, and the two are easy to conflate. Where certified translation is ordered as an add-on, a further link is attached – a translator's certification bound to the register's copy, not a substitute for it.
Which of these links the Armenian register actually carries on its certified copy, and which issuing office produces it, is being confirmed against the primary source. REGISTRUM states the confirmed field list to the client before the order is placed, not after. Where a field exists on the register but is blank for a given Armenian entity, it stays blank on the certified copy; the copy repeats what the register holds and does not fill a gap.
An Armenia certificate of incorporation of this kind is a single document rather than a bundle. It is distinct from a company extract, which carries current officers and address as of the search date, and from a certified Armenia extract of any later filing. Each of those is a separate order against a separate desk, and none is implied by the certificate of incorporation (certified copy) Armenia issues.
What it does not show
A certificate of incorporation (certified copy) confirms entry on the register and the particulars recorded at that point. It does not show the current position. First, directors appointed after incorporation, a change of registered address or a later change of name are not on the certified copy; they sit in the filing history and on a current company extract. Second, shareholders and the natural person who ultimately controls the entity are not shown. Where Armenia keeps a beneficial ownership register, and whether a foreign applicant can reach it, is being confirmed against the primary source.
Third, charges, mortgages and other security over the entity's assets are not part of the certificate. Where such a filing exists, it sits on a separate register with its own access rule. Fourth, insolvency proceedings, court claims and enforcement notices sit with the courts and the official gazette rather than with the corporate register, and the certificate does not report them.
Fifth, tax status, licences and sector permits are held by different authorities again and are not reached through this Armenia company document. Whether the corporate register in Armenia is open to a search by name, restricted to a registration number, or closed to a foreign applicant without a local step is being confirmed against the primary source. Where the closure is structural – a residency requirement, an identifier requirement or an entry-key rule – REGISTRUM names the structure once confirmed rather than describing it as a general difficulty.
How it is obtained
The route to a certified copy in Armenia runs as a numbered chain, and each link is checked before it is quoted. First, the issuing authority for the corporate register is being confirmed against the primary source; REGISTRUM does not name an authority it has not checked. Second, the official fee for a certified copy is being confirmed in the same way, and is stated to the client with the date on which the tariff was read. Third, the normal turnaround depends on the confirmed process – written request, counter visit or electronic issue – and is stated once that process is known.
Fourth, language of issue. Where the register issues the certified copy in Armenian only, REGISTRUM confirms whether an English rendering is available from the register itself. If not, a certified translation is ordered as a separate add-on bound to the original. Fifth, access for a foreign applicant. Some registers accept a request from outside the country directly; others require a local representative, a national identifier or an electronic signature the applicant does not hold. Which applies in Armenia is being confirmed against the primary source, and where direct access is confirmed absent, REGISTRUM places the request through a licensed registered agent in the jurisdiction.
Sixth, certification for use abroad. Where the client needs the copy for a filing in another country, an apostille is added as a separate step after issue. An apostille certifies the signature and seal of the issuing office; it does not certify that the content is accurate or current. Reuse of the record is per document: each certified copy is issued for the use stated at order, and a later use calls for a fresh copy rather than a re-issue of the first.
Price and timeline
Price on request. The fee is confirmed once the issuing authority and its tariff for Armenia have been checked against the primary source, and stated before any payment is taken. Apostille, certified translation, courier delivery and rush processing are available as add-ons, each confirmed as a separate line once selected. If the document does not exist in this jurisdiction or cannot be obtained for you, we say so before you pay and we do not take the order.
How long does a certificate of incorporation (certified copy) from Armenia take?
The normal handling time for the Armenian corporate register is being confirmed against the primary source. REGISTRUM does not quote a turnaround before that check, because a figure taken from memory can be wrong in either direction. Once the issuing authority and its process are confirmed, the timeline is stated to the client together with the fee, before any order is placed.
Will a Armenia document be accepted abroad without an apostille?
Acceptance is decided by the receiving authority in the destination country, not by REGISTRUM. Most foreign registrars, banks and courts ask for an apostille on an Armenia certificate of incorporation before accepting it. An apostille certifies the signature and seal of the issuing office; it does not certify that the content is accurate or that the entity's position is unchanged.
What does a certificate of incorporation (certified copy) in Armenia not show?
It does not show current directors, current address, shareholders, beneficial owners, registered charges, court proceedings or tax status. It reproduces the particulars recorded at incorporation and confirms the entry on the register. Later changes sit in the filing history and on a current extract, and each of those is a separate order against a separate register.
Is a certified copy the same as a company extract for an Armenian entity?
No. The certified copy reproduces the incorporation entry as recorded at the start. A company extract reports the current position on the search date – officers, address, status. A receiving party that asks for proof of present standing usually wants the extract, and one that asks for proof of formation usually wants the certified copy. REGISTRUM confirms which is meant before ordering.
Does REGISTRUM need a power of attorney to order a certified Armenia extract?
Many registers release a certified copy of a public filing to any applicant without a power of attorney. Whether the Armenian register applies a stricter rule for a foreign requester, or restricts certified copies to the entity itself, is being confirmed against the primary source. If an authorisation turns out to be required, REGISTRUM says so before payment and states what form it must take.
State the entity, the jurisdiction and the date you need it by; we confirm availability and the fee before you pay.
